9. Verify, Stamp & Sign AOA

Careful and critical examination (vetting) of Memorandum and Articles of Association is prudent before filing for registration as they define the intent and extent of the business.

The future business prospects should be mentioned in Memorandum and Articles of Association in order to avoid modifications later stages.

The Registrar of Companies can be consulted for the vetting process.

After verification by Registrar of Companies, get the Memorandum and Articles of Association printed.

 

Stamping of Memorandum and Articles of Association

After finalising Memorandum and Articles of Association, the same are required to be stamped with Registrar of Stamps.

The Stamp duty depends on the authorized share capital of the company mentioned in the Memorandum and Articles of Association.

Signing of Memorandum and Articles of Association

Stamped and signed copies of Memorandum and Articles of Association will be required for submission for registering a company.

i. At least two subscribers are required for subscribing to the Memorandum and Articles of Association. The information about each subscriber should include:

a) Father’s name

b) Father’s occupation

c) Permanent address

d) Number of shares subscribed by the candidate

ii. The signing process must have at least one professional (lawyer, CA or advocate) witness.

iii. Ensure that Memorandum and Articles of Association are executed (signed and dated) after the date of stamping.
